Approval of financial statements: deadlines and penalties. What every business owner should know

Running a company is not only business growth but also a series of reporting obligations. One of the most important moments in the financial year is closing the books and approving the financial statements. Although many entrepreneurs treat it as a mere formality, failure to meet these duties on time can have serious financial and legal consequences.

Entrepreneur’s calendar – key dates

For most companies whose financial year matches the calendar year, three dates matter:

    By 31 March: Preparation of the financial statements (electronic signature by the management board and the person keeping the books). By 30 June: Approval of the statements by the approving body (e.g. Ordinary General Meeting of Shareholders). By 15 July: Filing of the approved statements with the Financial Documents Repository (KRS).

What does the approval process look like?

Approval is a formal process that requires proper documentation:

    Resolution on approval of the financial statements – confirming that shareholders accept the financial result. Resolution on profit distribution or loss coverage – deciding what happens to earned capital. Management board report on operations – description of key events in the past year (applies to most entities).

E-reporting: where and how to file documents?

The process is now fully electronic. Documents are filed with the KRS (Free Financial Documents Submission System).

Important: All documents must be signed electronically (Trusted Profile or qualified signature) by authorised persons.

Consequences and penalties for failure to file

The law provides strict sanctions for missing deadlines. What are the risks?

    Fine: Imposed on the head of the entity (management board). It can range from a few to tens of thousands of PLN. Enforcement proceedings: The registration court may order the board to file documents under threat of further fines. Criminal liability: Under the Accounting Act, failure to file statements can even lead to a restriction of liberty. Register entry: Information about missing statements appears in the KRS excerpt and can harm credibility with banks and contractors.

Remember that the management board bears ultimate responsibility for timely filing. Even if you use an accounting firm, you must ensure resolutions are signed on time.
